IR21 final pay and RSU withholding when leaving

IR21 tax clearance can freeze your final pay from the day you resign, and unvested RSUs may trigger deemed exercise income. Budget for the freeze early.

The "HR froze my last three months of pay" threads on r/askSingapore are almost never about a personal grudge. They're IR21 tax clearance doing exactly what it is designed to do. The base rail, meaning who needs clearance, the one-month notice and the exceptions, sits on IRAS tax clearance when leaving. This guide is the layer on top of it: what happens to your final pay, and what happens to your share plan.

What gets withheld

ItemTypical IR21 posture (verify live)
Final salary / unused leave payWithheld from the date HR knows you are leaving until IRAS directs release
Bonuses / commissions still dueOften swept into the same withholding pot
Unvested RSUs / unexercised optionsMay trigger deemed exercise income at clearance unless an approved tracking arrangement applies
Direction to releaseAfter IRAS processes the IR21, which is not the same thing as your preferred flight date

Give HR your leave dates in writing early, and earlier than feels necessary. Withholding often starts at resignation notice, not only in the final payroll cycle, so the gap between telling them and being paid can run a great deal longer than one month.

The clocks people underestimate

Your employer is generally expected to file the IR21 at least 1 month before your cessation or qualifying departure (more than 3 months overseas). That lead time belongs to them, but you are the one who feels it when they leave it late.

Garden leave catches people out. Where it applies, clearance is often expected at the start of the garden leave rather than at the end, so the clock has already been running for weeks by the time you think of yourself as leaving.

Resigning on short notice doesn't get you out of IR21 either. It just compresses everything, and a thin runway is your problem rather than IRAS's.

Then keep the pass in a separate column of your head. MOM and ICA stay windows after a pass is cancelled run on their own calendar and don't sync themselves to the tax one, so you have to coordinate the two yourself. Which is the long way of saying: don't book non-changeable flights that assume clearance lands the same week.

Questions to put to HR in writing

Email these rather than raising them in a corridor. You want the answers in a form you can point back to.

  1. Will you file the IR21 for my cessation date, and which pay components will be withheld?
  2. Do we have an IRAS-approved tracking arrangement for unvested awards?
  3. If tracking doesn't apply, what deemed-exercise income will you report for me?
  4. When do you expect IRAS to direct the release of the withheld money?
  5. Will I keep Singpass and myTaxPortal access after the pass is cancelled?

The share-plan mechanics beyond clearance itself are on RSU / ESOP tax.

How to think about it

Treat IR21 as a cashflow event rather than a paperwork one. Written notice of your dates goes in early, the share-plan tracking question gets asked while there is still time to answer it, and you budget leaving costs on the assumption that your pay is frozen for the duration. Then you confirm the release once IRAS has actually directed it, instead of assuming that it happened.

The parent clearance map stays on tax clearance when leaving, and the operational checklist for the move itself is on the leaving playbook.

Questions, answered

Why has HR frozen my final salary?
It's IR21 tax clearance doing what it's designed to do, not a personal grudge. Your final salary and unused leave pay are withheld from the date HR knows you're leaving, and bonuses or commissions still due are often swept into the same pot. Nothing is released until IRAS directs it.
When does the withholding actually start?
Often at resignation notice, not only in the final payroll cycle. That means the gap between telling HR and being paid can run a great deal longer than one month. Give HR your leave dates in writing early, and earlier than feels necessary.
What happens to my unvested RSUs and unexercised options?
They may trigger deemed exercise income at clearance unless an IRAS-approved tracking arrangement applies. Ask HR in writing whether you have one, and if tracking doesn't apply, what deemed-exercise income they'll report for you.
How far ahead does my employer have to file the IR21?
Generally at least 1 month before your cessation or qualifying departure, which includes being overseas for more than 3 months. That lead time belongs to your employer, but you're the one who feels it when they leave it late.
Does garden leave delay tax clearance?
Usually the opposite. Where garden leave applies, clearance is often expected at the start of the garden leave rather than at the end, so the clock has already been running for weeks by the time you think of yourself as leaving.
Can I book my flight around when I expect clearance?
Don't book non-changeable flights that assume clearance lands the same week. MOM and ICA stay windows after a pass is cancelled run on their own calendar and don't sync themselves to the tax one, so you have to coordinate the two yourself.
